The rise of shareholder activism and the complexity of operating in a global marketplace have imposed increasing pressure on corporations to assemble a board with the right mix of experience, skills, and gender, racial, ethnic, and age diversity. Nominating and governance committees must reconsider the process by which they assess board composition, identify director candidates, and define diversity to successfully align composition to long-term strategy. Yet, calls for greater transparency and diversity have been slow to drive progress.
